You must be 18 or older, legally capable of contracting, and provide truthful and accurate information.

Account & Access

You will receive login credentials for the Platform. You’re responsible for safeguarding access credentials and must inform us immediately if compromised. Your access rights are restricted per your plan and applicable licensing agreements. Only authorized resellers may provide Platform access to third parties under a sublicense agreement.

Fees, Billing & Payment

Fees are billed on a monthly or annual cycle, depending on your plan or agreement. Payment must be made via approved methods. Late payments may incur interest or suspension of services. Refunds and cancellation terms are defined in your Agreement.

User Obligations

You agree to:

• Provide accurate and lawful data.
• Maintain compliance with relevant laws (e.g., TCPA, CAN-SPAM, GDPR, Virginia VCDPA).
• Use Services solely for lawful business purposes.
• Refrain from spamming, data scraping, or unauthorized access.
• Ensure third-party permissions for content and data submitted through our Platform.

Intellectual Property

• Your Content: You retain full ownership of any data, materials, and content you provide or generate.
• Our Materials: We retain ownership of all Platform software, Automated Intelligence models, methodologies, and branding.
• License Grant: You receive a limited, non-exclusive, non-transferable license to use deliverables for your business operations.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information and not disclose it to third parties except as necessary for performance or by law.

Term, Suspension & Termination

These Terms are effective until terminated. You may cancel at any time per your service agreement. We may suspend or terminate access immediately upon any breach, misuse, or non-payment. Upon termination, your data ownership remains intact; however, your Platform access will cease.

Disclaimer & Limitation of Liability

• Services Provided “AS IS”: We make no warranties regarding uninterrupted access, specific marketing outcomes, or Automated Intelligence accuracy.
• Liability Cap: Our liability for damages is limited to fees you paid in the 12 months preceding any claim.
• Exclusions: We are not liable for indirect, incidental, consequential, or special damages.

Governing Law & Dispute Resolution

The laws of the Commonwealth of Virginia, USA, govern these Terms. Disputes shall be resolved via binding arbitration in Fredericksburg, VA, in accordance with Virginia rules.

Amendments

We may update these Terms at any time, posting the revised version with the new Effective Date. Continued use of Services indicates your acceptance of revisions.
